Luphonix Terms of Service

These Terms of Service (“Terms”) govern your use of services provided by Luphonix (“Luphonix,” “we,” “us,” or “our”). By purchasing or using our services, you agree to these Terms.
If you do not agree with these Terms, you should not use Luphonix services.
1. Services
Luphonix provides digital technology solutions, including but not limited to:
- Website Design & Development
- Web Application Development
- Mobile App Development
- UI/UX Design
- E-commerce Solutions
- AI & Automation Solutions
- API Development & Integration
- Cloud Deployment & DevOps
- Website Maintenance & Support
- SEO & Performance Optimization
- Custom Software Development
The exact scope of work will be defined in the project proposal or agreement.
2. Client Responsibilities
The Client agrees to:
- Provide complete project requirements.
- Supply required content, logos, images, and branding materials.
- Provide access to hosting, domains, APIs, or third-party services when required.
- Review submitted work and provide feedback within a reasonable time.
- Ensure all supplied content complies with applicable laws and does not infringe third-party rights.
Delays in approvals or required information may affect the project timeline.
3. Project Delivery
Luphonix will make every reasonable effort to deliver the project within the estimated timeline.
Delivery dates are estimates and may change due to:
- Client-requested revisions
- Delayed approvals
- Scope changes
- Third-party service delays
- Technical limitations beyond our control
4. Payment Terms
Luphonix requires a 25% payment in advance.
Unless otherwise agreed:
- Payment will be made according to mutually agreed milestones or after successful delivery of completed work.
- An invoice will be issued upon completion of each milestone or project.
- Payments should be completed within 7 days of invoice issuance.
- Any additional work outside the agreed project scope will be quoted separately and requires client approval before implementation.
- Any advance payments made are non-refundable.
5. Revisions
Each project includes reasonable revisions as agreed before development begins.
Additional revisions or feature requests outside the original scope may require additional charges and may extend the delivery timeline.
6. Third-Party Services
Some projects may use third-party platforms including:
- Google Cloud
- Firebase
- Supabase
- AWS
- Vercel
- Cloudflare
- Stripe
- Razorpay
- HubSpot
- OpenAI APIs
Luphonix is not responsible for outages, pricing changes, policy updates, or service interruptions caused by these providers.
7. Ownership
After the project has been completed and all agreed payments have been received:
- The Client owns the final deliverables created specifically for their project.
- Luphonix retains ownership of reusable libraries, frameworks, templates, utilities, internal tools, and development methodologies.
- Luphonix may display completed work in its portfolio unless the Client requests confidentiality in writing.
8. Warranty & Support
Luphonix provides support for bugs related to the delivered project for the agreed support period.
Support does not include:
- New feature development
- Third-party software issues
- Hosting problems not managed by Luphonix
- Client-made modifications
9. Limitation of Liability
Luphonix shall not be liable for:
- Loss of revenue
- Loss of profits
- Data loss
- Business interruption
- Indirect or consequential damages
Our maximum liability shall not exceed the total amount paid by the Client for the affected project.
10. Termination
Either party may terminate the project with written notice.
Upon termination:
- The Client will receive all completed work corresponding to completed and paid milestones.
- Work not yet completed will not be delivered.
- Outstanding invoices remain payable according to the agreed terms.
11. Changes to these Terms
Luphonix may update these Terms from time to time. Updated versions become effective immediately upon publication on our website.
12. Governing Law
These Terms are governed by the laws of India.
Any disputes shall be subject to the jurisdiction of the competent courts in Gujarat, India.
